Description
A global law firm is seeking an experienced corporate attorney to join its Professional Track Attorney program within the firm’s corporate group. This role will focus primarily on representing emerging growth companies and the institutional investors that support them.
The ideal candidate will have significant experience advising startups, founders, and investors on venture capital financings, mergers and acquisitions, and ongoing corporate governance matters. This position offers the opportunity to work on sophisticated transactions within a collaborative, team-oriented environment across multiple U.S. offices.
Key Responsibilities
- Communicate effectively, both verbally and in writing, with attorneys, clients, staff, and third parties
- Draft, review, and manage transaction documents and client deliverables
- Analyze complex legal issues and apply legal principles to specific business situations
- Provide timely, accurate, and well-reasoned work product
- Manage multiple matters and meet deadlines in a fast-paced environment
- Be available as needed to support client and team demands, including evenings and weekends
- Participate in client meetings, conference calls, and business development activities
- Travel as required for client matters or firm initiatives
- Build and maintain strong client relationships and anticipate client needs
- Mentor and supervise junior attorneys and staff
- Comply with all firm policies and professional standards

Qualifications
- 5–8 years of emerging growth and venture capital experience
- Direct and applicable AmLaw 100 law firm experience preferred
- Experience advising emerging companies and venture capital investors
- Familiarity with standard venture capital documentation, including NVCA, Series Seed, and Y Combinator forms
- Experience negotiating preferred stock, bridge, and
- SAFE financings
- Experience managing due diligence for M&A transactions and venture financings
- Strong knowledge of corporate governance matters
